Junction Global Capital, a trade name of Prop Account, LLC (the “Company”), provides you (“you” or the “Trader”) with a limited license to use the services (the “Services”) offered by the Company, subject to the terms and conditions contained herein (the “Agreement”).

This Agreement is a legally binding contract, and you must read it carefully before accessing or using the Services. By using the Services, you agree to the terms and conditions outlined in this Agreement.

The Company reserves the right to suspend, modify, amend, or terminate this Agreement at any time at its sole and absolute discretion. If the Company makes any changes, your continued use of the Services after the effective date of such changes constitutes your acceptance of the modified Agreement.

Trader Representations

By using the Services, you represent that you are at least eighteen (18) years old, are of sound mind, and have the legal capacity to enter into this Agreement. If you use the Services on behalf of a business entity or third party, you confirm that you have the authority to act as an agent of that entity or third party and have the right to bind them to this Agreement.

You further represent that your use of the Services complies with all applicable laws, regulations, ordinances, and statutes in your jurisdiction. Additionally, you affirm that you are not restricted from entering into this Agreement by any prior contractual obligation.

Limited License

The Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable, and royalty-free license to use the Services for their intended purposes. You are expressly prohibited from scraping, framing, hacking, reverse engineering, crawling, or aggregating the Services or the Company website, in whole or in part, without prior written consent from the Company.

You acknowledge that this license does not grant you any intellectual property rights, including copyrights, trademarks, trade secrets, or any proprietary technology of the Company or its third-party contractors. Your use of the Services is strictly governed by this Agreement, and any unauthorized use is strictly prohibited. The Company reserves all rights not expressly granted herein and may revoke this license at any time.

Prohibited Uses

You are prohibited from using the Services to violate any law, regulation, statute, or treaty at the local, state, provincial, national, or international level, or to infringe upon the rights of any third party, including intellectual property rights, privacy rights, and proprietary rights.

Additionally, you may not engage in the following activities:

  • Scraping, crawling, framing, hacking, or reverse engineering the Services or Company website.
  • Performing denial-of-service (DoS) attacks or circumventing security measures.
  • Sending unsolicited commercial emails to third parties or Traders of the Company.
  • Using any trading strategy expressly prohibited by the Company or its Brokers, including but not limited to:
    • Exploiting errors or latency in pricing or platform performance.
    • Utilizing non-public or insider information.
    • Front-running trades placed elsewhere.
    • Engaging in trading practices that jeopardize the Company’s relationship with Brokers or create regulatory issues.
    • Using a third-party, off-the-shelf, or marketed strategy to pass challenge accounts.
    • Switching trading strategies between an assessment and a funded account.
    • Holding a Single Share Equity CFD position into an earnings release.
    • Entering an Equity CFD near the end of the trading day with the intent to profit from the market gap.
    • Arbitraging an assessment account with another account within the Company or a third party.

If the Company detects any Prohibited Trading, your participation in the program will be terminated, and any fees paid may be forfeited. Before receiving a funded account, all trading activity will be reviewed by the Company and its Brokers to determine compliance with these terms. If Prohibited Trading is identified, the Trader will not receive a funded account.

The Company reserves the right to disallow or block any Trader from participating in the program for any reason, at its sole and absolute discretion.

Education

Junction Global Capital does not provide trader education. The Company’s purpose is to identify individuals with strong trading skills. The Company does not directly facilitate live trading. Traders who successfully complete an assessment provided by the Company may be allocated capital to trade in a live account under the terms of an agreement with Prop Account, LC.

Although Junction Global Capital may offer insights, data, and general content related to trading strategies and opportunities, all such information is intended solely for informational and educational purposes. The Company does not encourage Traders to act upon any materials provided and does not offer investment, financial, tax, legal, or any other professional advice.

Additionally, the Company does not guarantee that any information presented on its website is accurate or complete. You are solely responsible for assessing the benefits and risks associated with any data, content, or information provided. By using this information, you acknowledge that Junction Global Capital is not liable for any potential damages or losses resulting from your decisions.

While Junction Global Capital does not facilitate real-money investments, we emphasize the importance of understanding the risks involved in traditional trading. Trading and investing carry a high degree of risk, which may lead to significant financial losses. Past performance does not guarantee future results.

Therefore, before engaging in trading, you should carefully evaluate whether it aligns with your investment goals, experience level, and risk tolerance. If you are uncertain, it is advisable to consult a qualified financial or tax advisor.

Account Registration

To become a Trader, you may be required to submit personal details, including but not limited to your full name, email address, phone number, date of birth, mailing address, and a unique username and password. The handling of your personal information is governed by the Company’s privacy policy.

Your account is exclusively for personal use and cannot be shared with or transferred to another person. Additionally, you are prohibited from purchasing an account for someone else or having an account bought for you. You are responsible for maintaining the confidentiality of your login credentials. If you suspect unauthorized access to your account, you must promptly notify Junction Global Capital.

Each Trader is limited to one active account per challenge level unless prior written authorization is granted.

Payments and Refund Policy

Junction Global Capital may offer services, products, subscriptions, or website access for a fee. Prices and availability are subject to change at any time without notice. Purchases may be made directly through the Company’s website or via an authorized affiliate platform. It is your responsibility to review and understand all applicable terms before making a purchase.

By proceeding with a purchase, you acknowledge that Junction Global Capital is not responsible for and assumes no liability for any issues related to your transactions. Once a product, service, subscription, or website access is purchased, the Company will grant access following a successful payment transaction.

All sales are final, and refunds are not available for any services or products purchased from the Company. If our payment processor classifies you as a “high-risk” purchaser, we may require additional documentation or verification before proceeding with your assessment. If the requested information is not provided within twenty-four (24) hours, your access to the services may be revoked. Providing the requested documentation does not guarantee that the high-risk status will be lifted, and you may still be deemed ineligible for services.

Guidelines

Junction Global Capital will outline the guidelines related to its services on its website and via email upon a trader’s enrollment. These guidelines, which may be updated at Junction Global Capital’s sole discretion, are fully incorporated into this Agreement. The Company makes no representations, warranties, or guarantees, whether expressed or implied, regarding future employment as a trader, financial compensation, or any form of monetary rewards based on your trading performance.

Trademarks

You acknowledge and agree that all trademarks, trade names, logos, and design marks displayed on Junction Global Capital’s website are either owned by or licensed to the Company. You are strictly prohibited from using these trademarks in any manner that could create confusion, mislead consumers, or falsely imply sponsorship, origin, or affiliation. Furthermore, you may not use Junction Global Capital’s trademarks in domain names, keyword advertising, trigger keyword ads, or meta tags. Any other trademarks, logos, or trade names featured on the website belong to their respective owners.

The Company, its suppliers, and licensors explicitly reserve all intellectual property rights in the text, content, technology, software, and other materials displayed on the website. Accessing the website does not grant you any license or rights under any intellectual property owned by Junction Global Capital or any third party. All rights, including copyrights, remain with the Company or its licensors. Any use of this website, including copying, storing, modifying, or redistributing content, beyond personal, non-commercial purposes is strictly prohibited without prior permission from Junction Global Capital.

Junction Global Capital’s name, logos, services, and related slogans are either owned by or licensed to the Company. Unauthorized use of these marks in any manner is not permitted. No license or authorization to use these trademarks is granted by accessing the website.

Term and Termination

This Agreement takes effect when you purchase a Service from the Company and remains in force until either the Company revokes your access to the Services or you discontinue their use.

The Company retains the exclusive right to terminate the Services or restrict your access to its website at its sole discretion, without prior notice.

Disclaimer of Warranties and Limitation of Liability

Indemnification

Arbitration

By agreeing to these Terms, you acknowledge that any dispute, claim, or controversy arising from or related to this Agreement—including its interpretation and your use of the Services—shall be resolved through arbitration in accordance with the latest commercial arbitration rules of the American Arbitration Association (AAA). The arbitration will be conducted by a sole arbitrator, selected randomly from a neutral list maintained by the AAA. The arbitrator’s decision will be final and binding, and judgment on the award may be entered in any court with proper jurisdiction. The arbitrator has the authority to grant costs and attorneys’ fees to the prevailing party. The arbitration will take place in Quebec, and both parties agree to appear in person in Quebec for the proceedings. The laws of Quebec will govern the arbitration process.

Force Majeure

Junction Global Capital shall not be held responsible for any losses, damages, costs, claims, or expenses, including legal fees, arising directly or indirectly from events beyond its control. This includes, but is not limited to, civil unrest, war, acts of government (such as nationalizations, forfeitures, currency devaluations, or exchange controls), natural disasters, technological failures, disruptions in communication, market conditions, or any other unforeseen circumstances affecting the Company, the Trader, or third-party service providers.

Survivability

Any obligations, representations, warranties, and covenants you make under this Agreement shall remain in effect even after this Agreement or the Services are terminated. This includes, but is not limited to, your obligation to indemnify and defend the Company.

Severability

If any provision of this Agreement is determined to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

Interpretation

This Agreement shall be considered jointly drafted by both parties. No provisions within it shall be interpreted against either party based on authorship.

Assignment

You may not assign your rights or obligations under this Agreement to any third party. Junction Global Capital reserves the right to transfer or assign its rights and obligations under this Agreement, including in the event of a sale or transfer of the Company or its Services.

Waiver

No waiver of any provision or breach of this Agreement shall be considered valid unless it is in writing and signed by the party granting the waiver.

Entire Agreement

This Agreement constitutes the full and complete understanding between you and Junction Global Capital regarding the use of the Services. It supersedes all prior agreements, whether written or oral.
